These are my Terms of Service for all logo design and illustration projects. Make sure to read through this information thoroughly. If anything looks like a potential issue for you and your project please let me know before the project starts. I’m happy to make custom arrangements for your project if needed.

Payment

Deposits, final payments and delivery

Before beginning your project, I require a 50% deposit, which will be invoiced and emailed to you. You are expected to make the payment within 14 days of receipt to accept our Terms of Service. Doing so will enter you into a contract with Christine Wilde (Freelance Designer).

The remaining cost of the project and associated services will be invoiced before the final exports or logo files are released. I may also withhold delivery until payment is made in full.

If you are unresponsive for more than 14 days, I may invoice you prior to the agreed time. Payment plans are at my discretion and must be agreed upon in writing by both parties. All payments must be made within 14 days of receipt.

In the event of unpaid accounts exceeding 30 days, I reserve the right to charge you for any collection or recovery process fees incurred.

Fonts & Typefaces

Licensing of any used fonts or typefaces

Commercial licensing laws apply to any fonts or typefaces purchased for the final logo or supporting brand identity assets. The font/typeface owner has full rights to use the font/typeface as required.

During the initial presentation of concepts, I will provide details on the typefaces used and their sources. It is the client’s responsibility to obtain any necessary font licenses, paid or unpaid, before approving designs.

Providing a client with a ‘copy’ of any font/typeface that I have personally purchased is illegal. If a client wishes to use a copy of a font/typeface that I own for commercial use, they must purchase the corresponding font/typeface license and register it in their name.

Typically, a font used in a logo does not require licensing as the graphics are converted to vector artwork and cannot be edited. However, if a client needs a font for editing purposes, such as on a website or print presentation, they must purchase their own desktop license.

I try to use Google Webfonts where ever possible. These fonts are free and copyright free to the owner.

Restrictions

Restrictions to the signing of this agreement 

The Terms of Service do not grant permission to use, modify, alter, replicate, or borrow any of the ideas, concepts, or sketches presented during the design process. The original preparation materials, sketches, visuals, and unused ideas will remain the property of Christine Wilde (Freelance Designer).

I reserve the right to use these unused and previous ideas for future client work and conceptual purposes. If an unused idea or design is similar to the finished logo, I will repurpose and restyle it to avoid any conflicts.

Unless otherwise agreed, I may showcase the finished logo and related designs in my portfolio, online galleries, showcases, awards, and printed literature, including books and magazines, now and in the future. Associated designs and artwork, such as commercial print designs, business cards, stationery designs, signage, desktop icons, and mobile phone or portable device application icons, may also be included.

Any supporting artwork and designs required for the project may be used by me for personal and professional reasons.

The client may change, modify, and adapt the finished logo design at their discretion, but they do so at their own risk.

Ownership & Copyright

All materials, sketches, visuals, and electronic files used for the project are the property of Christine Wilde (Freelance Designer), including preparation materials. The final digital files and artwork will become your property upon full payment of the project.

If payment is not received as agreed, all designs and concepts will remain the property of Christine Wilde (Freelance Designer) until payment is received. If there are any issues with the final payment, I reserve the right to reuse or modify any of these ideas for other clients, or to be used freely as concepts in my portfolio.

Any attempt to use, modify, alter, or replicate any ideas without agreed final payment will result in legal action.

I reserve the right to showcase any artwork, ideas, or sketches created for the project in my portfolio as examples of client work, typically after the completion of the project. If you have specific NDA or confidentiality requirements, please mention this before agreeing to the proposal.

Full payment ensures that only the agreed logo design becomes your property. Any previous ideas and concepts will remain mine unless agreed otherwise.

Limitation of Liability

Loss or damage

You acknowledge and agree that any use of my services is at your own risk and Christine Wilde (Freelance Designer) will not be held legally responsible for any loss or damage resulting from errors, omissions, or amendments in documents, designs, information, or any goods or services provided by me. This also includes any reliance on or use of third-party content, links, comments, or advertisements. Any information or materials produced or designed by me may contain inaccuracies or errors, and I will not be held liable for such inaccuracies or errors to the fullest extent permitted by law.

I assure you that all designs presented will be original, and to the best of my knowledge, will not infringe on any existing work. I will perform limited checks to ensure that my work does not unintentionally infringe on another’s design, such as using the WIPO database and reverse image checks across search engines. However, I cannot assume legal responsibility for any loss or damage suffered or incurred due to legal issues regarding the authenticity or originality of my work. It is your responsibility to perform your own checks and due diligence regarding plagiarism and originality. If you have any concerns, please discuss them with me before commencing work.

Cancellation

Cancellation During The Project

In the event that the project is cancelled midway through after ideas and proposals have been submitted, no refunds of previous payments will be given. However, depending on the amount of work completed and the overall budget, a partial refund may be possible.

If I am unable to complete the project due to unforeseen circumstances such as illness, a portion of the total budget will be refunded. In most cases, the full amount will be refunded. If any work completed so far can be utilized by another designer, a percentage of the payment will be refunded based on the amount of work completed. Alternatively, any other reasonable suggestions will be considered.

Project Suspension

In case of excessive micromanaging, continued lack of trust, or reluctance to make the final payment, I reserve the right to suspend the project. I will provide fair notice and a chance to address the issue before resorting to suspension or termination. However, in the event of suspension or termination, no refunds will be given, and all designs and work created will remain the property of Christine Wilde (Freelance Designer).

Force Majeure

If I am unable to fulfil any obligation under these Terms of Service due to events beyond my control, such as an “act of God”, government action, terrorism, riot, war, accident, or any other cause outside of my control including deficiency in materials or transportation, such non-performance shall not be considered a breach of these Terms of Service. I will promptly notify you of the nature and existence of such events, and resume performance as soon as reasonably possible once such events have concluded.

Trademark & Copyright

I am not equipped to provide assistance with the intricate and often expensive processes necessary for initiating a trademark, copyright, or legal name search.

If you wish to register the logo as a trademark, it is your responsibility to obtain legal guidance.

Brand Naming

Before starting the project, it is your responsibility to ensure that your company, product or name is legally available. If any legal issues arise with the name after the project is completed, no refunds can be provided, and I cannot be held legally responsible for any problems.

To avoid costly and time-consuming project delays, please ensure that the name you choose is legally safe to use before starting the logo project. Changing the name during the project can result in significant additional costs and delays.

If a name change is necessary during the project and significant logo exploration work has already been completed, the total cost of the project will be recalculated to account for the additional work required. Please ensure that the name you choose has been checked for availability and does not infringe on any registered trademarks, business names, or other intellectual property.
